Agreement to Terms

By creating an account or accessing the NewsMesh service, you agree to be bound by these Terms of Service and our Privacy Policy. If you disagree with any part of these terms, you may not access the service.

API Usage

Rate Limits

Your API usage is subject to rate limits based on your subscription plan. Exceeding these limits may result in temporary throttling or suspension of service.

Acceptable Use

You agree not to use the API to: (1) violate any laws or regulations, (2) infringe on intellectual property rights, (3) transmit harmful code or malware, (4) attempt to gain unauthorized access to our systems, or (5) resell or redistribute the API data without authorization.

Free Plan

The Free plan is for development and testing purposes only. Production use, automated systems, and scheduled polling require a paid plan.

API Keys and Security

You are responsible for maintaining the confidentiality of your API keys. You must notify us immediately of any unauthorized use of your account or API keys. We are not liable for any loss or damage arising from your failure to protect your credentials.

Billing and Payment

Subscription Fees

Subscription fees are billed in advance on a monthly or annual basis, depending on the billing cycle you select at the time of purchase. By selecting a paid plan, you authorize NewsMesh to charge the applicable subscription fee to your payment method immediately and on each renewal date thereafter.

Annual Subscriptions

If you select an annual billing cycle, you will be charged the full annual amount upfront at the time of purchase. Annual subscriptions are billed as a single payment for the entire year. You acknowledge and agree that annual subscription fees are non-refundable and non-prorated.

No Refunds

All fees are non-refundable. No refunds or credits will be issued for partial months, partial years, unused services, plan downgrades, or account cancellations. Upon cancellation, you will retain access to your current plan's features until the end of your current billing period, after which your account will revert to the Free plan.

Upgrades and Downgrades

You may upgrade or downgrade your subscription at any time from your dashboard. Upgrades take effect immediately, and you will be charged the new plan rate on a prorated basis for the remainder of your current billing period. Downgrades take effect at the end of your current billing period. No refunds or credits are issued for downgrades.

Automatic Renewal

Your subscription will automatically renew at the end of each billing period (monthly or annually) at the then-current rate unless you cancel before the renewal date. You may cancel your subscription at any time through your account dashboard. Cancellation will take effect at the end of your current billing period.

Pricing Changes

We reserve the right to change our pricing with 30 days' notice. We will notify you via email before any price increase takes effect. Continued use of the service after a price change constitutes acceptance of the new pricing. If you do not agree to the new pricing, you may cancel your subscription before the next billing period.

Billing Disputes

If you believe a charge is incorrect, please contact us at [email protected] within 30 days of the charge. We encourage you to contact us directly before initiating a dispute with your bank so we can resolve the issue promptly.

If a chargeback or payment dispute is recorded on your account, it will be considered a breach of your payment obligations under these Terms, and your access to the Service may be immediately disabled or terminated until the disputed amount is resolved. We reserve the right to contest any chargeback and to submit transaction records, usage logs, and evidence of your agreement to these Terms as part of the dispute process.

Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted service. We reserve the right to modify or discontinue the service with reasonable notice. We are not liable for any service interruptions or data loss.

Intellectual Property

The API, documentation, and all related materials are owned by NewsMesh and are protected by intellectual property laws. Your subscription grants you a limited, non-exclusive license to access and use the API according to these terms.

Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. NewsMesh does not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that any data or content delivered through the API will be accurate or complete.

Limitation of Liability

To the maximum extent permitted by law, NewsMesh shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption. Our total liability for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you paid to NewsMesh in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless NewsMesh and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or relating to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

Termination

Termination by You

You may cancel your subscription at any time through your account dashboard. Cancellation is effective at the end of your current billing period. You will retain access to your plan's features until the end of the period you have already paid for. No refunds or prorated credits will be issued upon cancellation.

Termination by Us

We may terminate or suspend your account immediately, without prior notice, for: (1) violations of these Terms, (2) abusive usage patterns, (3) a chargeback or payment dispute being recorded on your account, or (4) any activity that we determine, in our sole discretion, to be harmful to our service or other users. Upon termination by us, your right to use the API will immediately cease and no refund will be issued.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in the State of New Mexico.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the service. Continued use after changes constitutes acceptance of the updated Terms.
